1. ABOUT US

1.1 CARD VAULT COLLECTIBLES LTD, trading as WinTheCard (“Promoter”, “we”, “us”, “our”), a company registered in England and Wales with company number 17330317 and registered office at 128 City Road, London EC1V 2NX, United Kingdom, operates skill-based prize competitions on our website https://winthecard.com (the “Website”).
1.2 We operate skill-based prize competitions on the Website (each a “Competition” and together the “Competitions”).
1.3 Our Competitions are prize competitions, not lotteries or gambling. Entry into the draw for each Competition is conditional upon the entrant correctly answering, within a strict time limit, a question requiring the exercise of genuine skill, judgement and knowledge, in accordance with section 14 of the Gambling Act 2005. Each question and its time limit are designed and calibrated so that they can reasonably be expected to prevent a significant proportion of entrants from receiving a prize, or to deter a significant proportion of persons from entering. Only entrants who answer correctly within the time limit are entered into the draw. The Promoter is not required to hold, and does not hold, a licence issued by the Gambling Commission.
1.4 Intellectual Property Notice — No Affiliation. WinTheCard is not affiliated with, endorsed by, sponsored by, or otherwise connected to Bandai Co., Ltd., Bandai Namco Holdings, Shueisha Inc., Toei Animation Co., Ltd., Eiichiro Oda, The Pokémon Company, Beckett Grading Services (BGS), Professional Sports Authenticator (PSA), CGC Cards, or any other trading card publisher, licensor or grading company. All trademarks, trade names, characters, artwork and images relating to trading cards (including but not limited to “One Piece Card Game”) are the property of their respective owners and are used solely to describe genuine, authentic physical products offered as prizes. All prize cards are genuine, lawfully acquired retail products.

2. APPLICABILITY AND ACCEPTANCE

2.1 By using the Services (defined below), you enter into a legally binding agreement with us comprising: these general terms and conditions (“Terms of Use”); any rules applying to specific Competitions (“Competition Rules”), displayed on the relevant Competition page; andany terms applying to specific promotional activities (“Promotional Terms”). Together, the “Terms and Conditions”.
2.2 The Terms and Conditions apply whenever you use the Website, join our waitlist, enter any Competition, purchase any entries (“Tickets”), participate in any promotional activity, win any prize, engage with our social media pages, or otherwise use, access or interact with any products, services or functionality offered by us (collectively, the “Services”).
2.3 In the event of any conflict, the order of priority shall be: Promotional Terms, then Competition Rules, then these Terms of Use.
2.4 If you do not agree to the Terms and Conditions, you must not use the Services.

3. CHANGES TO THE TERMS AND CONDITIONS

3.1 We may amend the Terms and Conditions from time to time (for example, to comply with a change in applicable law). Where we make material changes, we will attempt to provide reasonable advance notice where reasonably possible. Your continued use of the Services constitutes acceptance of any changes. If you do not agree, you must stop using the Services. Changes will not apply retrospectively to Competitions you have already entered.
3.2 The Promoter reserves the right to correct any obvious or manifest pricing, typographical, description or listing errors relating to any Competition or Prize. Where such an error materially affects the integrity or operation of a Competition, the Promoter may suspend, modify or cancel the affected Competition and, where appropriate, offer affected participants a refund or replacement entry.

4. ELIGIBILITY

4.1 You must be at least 18 (eighteen) years old to use the Services. By entering any Competition or joining our waitlist, you confirm that you are 18 or older and have capacity to enter into a legally binding contract.
4.2 The Services are primarily intended for persons whose legal permanent residence is in the United Kingdom. Residents of other jurisdictions may participate only where participation in prize competitions of this nature is lawful in their jurisdiction, subject to clauses 4.3 to 4.5 and 14.7. It is your sole responsibility to verify that your participation is lawful from your location before entering; the availability of the Website or the acceptance of a payment does not constitute confirmation that participation is lawful from your location. Our Services and marketing are directed at the United Kingdom only, and nothing on the Website constitutes an offer or solicitation to participate in any jurisdiction where prize competitions of this nature are unlawful.
4.3 No employee, officer, director, consultant, contractor or agent of the Promoter, nor any relative or member of the same household of such persons (including any spouse, partner, parent, child, step-child or sibling), may enter any Competition, directly or indirectly. Any entry made in breach of this clause is invalid.
4.4 By using the Services, you confirm that you are not breaching any laws in your country of residence or the jurisdiction from which you access the Services. You must not use the Services from any jurisdiction where prize competitions of this nature are prohibited, nor from any of the following prohibited jurisdictions: Germany (players residing in or entering from Germany are not permitted to participate due to legal restrictions under German gambling law), Cuba, Iran, North Korea, Syria, Russia, Belarus, the regions of Crimea, Donetsk, Kherson, Luhansk and Zaporizhzhia, Afghanistan, Myanmar, or any jurisdiction subject to comprehensive UK sanctions. The use of a VPN or other tools to disguise your location is prohibited.
4.5 Any entry made in breach of the eligibility criteria above will be void, your participation in all Competitions will be revoked, and any prizes, Tickets, entries or credits associated with your Entry Details will be forfeited. Where an entry is void solely because participation was not lawful from the entrant’s location and the entrant acted in good faith, the Promoter may, at its discretion, refund the Ticket price paid for the void entry (less any payment processing costs).
4.6 No person who is subject to financial sanctions imposed by the United Kingdom, the European Union, the United States (including OFAC sanctions), or any other applicable sanctions regime may participate in any Competition. The Promoter reserves the right to refuse participation, suspend entries, withhold Prizes or request additional verification where sanctions compliance concerns reasonably arise.

5. LICENCE AND INTELLECTUAL PROPERTY

5.1 Subject to your compliance with the Terms and Conditions, we grant you a limited, revocable, personal, non-transferable, non-exclusive licence to use the Services for your personal, non-commercial use.
5.2 The Services, including all text, graphics, images, photographs, videos and other content, and all intellectual property rights therein, are owned by the Promoter or our licensors. You may not copy, reproduce, modify, distribute, sell or republish any content without our prior written permission.
5.3 For third-party trading card intellectual property, see clause 1.4. Winning a card prize transfers ownership of the physical card only; it does not transfer or license any intellectual property rights in the artwork, characters or trademarks depicted on the card.

6. ACCESS AND AVAILABILITY OF THE SERVICES

6.1 We will provide the Services with reasonable skill and care, but we do not warrant that the Services will be uninterrupted, error-free or available at all times. You are responsible for your own internet access.
6.2 We will use reasonable efforts to award each prize to the correct entrant. If, due to hardware, software or human error, a prize is awarded incorrectly, we reserve the right to reclaim it and award it to the correct entrant. If a prize is incorrectly delivered to you, you must notify us promptly, take reasonable care of the prize, and return it (in the condition received) within 14 (fourteen) calendar days of receiving our return instructions, at our reasonable cost.
6.3 We may suspend or remove your access to the Services and refuse to accept entries from you: (i) immediately and without notice where you have breached the Terms and Conditions (including any prohibited activity in clause 7); or (ii) for any other reason on reasonable advance notice where reasonably possible. Where we reasonably suspect a prohibited activity, we may suspend your pending entries pending investigation, and if the breach is confirmed we may void or reclaim any prizes, refuse future entries from you, and share your details with law enforcement or regulatory authorities.
6.4 Where any technical malfunction, software error, cyber incident, security breach, hardware failure or other technical issue materially affects the fairness, integrity or operation of a Competition, the Promoter reserves the right to suspend, cancel, restart, rerun or otherwise modify the affected Competition as reasonably necessary.

7. PROHIBITED ACTIVITIES

7.1 You must not, and must not assist or encourage others to:engage in any fraudulent, improper or illegal activity, collusion or cheating; provide incorrect, inaccurate or misleading information;enter using multiple identities, email addresses, telephone numbers or payment methods, or otherwise misrepresent your identity;enter on behalf of another person, or allow another person to enter using your identity or details; interrupt, interfere with, attack, manipulate or gain unauthorised access to the Website or any systems used to provide the Services, or introduce viruses or malicious code;use any device, software or routine that interferes with the proper functioning of the Services;circumvent any security measures;use bots, automated tools, artificial intelligence tools, scraping or data-mining methods in connection with the Services, including to answer any skill question; collect personal information about other users;use the Services if under 18, from a prohibited jurisdiction, or through a VPN to disguise your location;abuse or harass our staff; orpublish content about WinTheCard which is unlawful, defamatory, obscene, harassing, threatening, fraudulent or discriminatory.
7.2 The Promoter reserves the right to invalidate any entry, suspend or permanently exclude any participant where it reasonably believes that the participant has acted fraudulently, dishonestly, unfairly or in a manner intended to circumvent the spirit, purpose or integrity of any Competition, whether or not such conduct is expressly described elsewhere in these Terms and Conditions.

8. YOUR ENTRY DETAILS

8.1 To enter a Competition you must provide accurate and complete personal information during the checkout process, which is operated through our payment provider, Stripe. This information includes your full name, email address, telephone number and postal address (together, your “Entry Details”). Your entries are linked to your Entry Details as collected at checkout. By completing checkout, you confirm that you are aged 18 or over; your date of birth and documentary proof of age will be required as part of winner verification (see clauses 9 and 13.3) before any prize is delivered.
8.2 You must enter under a single identity. Each entrant may use only 1 (one) set of Entry Details. Entries submitted under multiple identities, email addresses or payment methods by or on behalf of the same person may be voided, and any prizes won through them forfeited.
8.3 It is your sole responsibility to ensure that your Entry Details are accurate and remain up to date — we will use them to confirm your entry and to notify you if you win. If your contact details change after you have entered, you must notify us at the address in clause 21.
8.4 Following your entry, we will send a confirmation email to the email address you provided, which serves as the record of your entry (including your Ticket numbers and, where applicable, your recorded answer and submission time). You may request details of your entries at any time by contacting us.

9. CUSTOMER VERIFICATION (KYC)

9.1 We reserve the right to carry out identity, age and eligibility verification at any time, including before delivering any prize. You may be required to provide photographic identification, proof of age and proof of address.
9.2 Failure to provide satisfactory documentation within a reasonable period may result in: rejection of your entries; voiding of prizes; disqualification from Competitions; and/or reporting to relevant authorities.
9.3 The Promoter reserves the right to refuse, suspend or cancel any transaction, participation or Prize where it reasonably suspects money laundering, terrorist financing, fraud or any other criminal activity. The Promoter may request additional identity, source-of-funds or payment verification documentation before accepting an entry or awarding a Prize.

10. HOW TO ENTER

The Skill Challenge — Timed Multiple Choice

10.1 To enter, you must provide your Entry Details at checkout and purchase one or more Tickets for the relevant Competition. For each Competition, you will be entitled to complete the ‘Multiple Choice Challenge’ onscreen, which operates as follows: you will be shown a multiple-choice question requiring specialist knowledge, analysis or deduction, which has only 1 (one) correct answer;the question is subject to a time limit, displayed on the relevant Competition page (for example, 60 seconds), which starts running from the moment the question is first displayed on your screen. You must select and submit your answer before the time limit expires;you must use your skill, judgement and knowledge to identify the correct answer out of the choice of potential answers within the time limit; select your answer on the screen; your device will register this answer and the time of submission as your entry;if you fail to submit an answer before the time limit expires, your entry will be treated as an incorrect answer and the Tickets associated with it will not proceed to the draw, with no refund, credit or replacement;you may purchase as many Tickets as you wish, up to the Competition Entry Limit, provided that each person may only complete 1 (one) Multiple Choice Challenge per Competition and submit 1 (one) answer, which will apply to all the Tickets purchased by that person for that Competition. It is not possible to submit different answers across multiple Tickets, orders, email addresses or identities in the same Competition, nor to reattempt the question after the time limit has expired or an answer has been submitted. Any attempt to circumvent this rule (including by placing multiple orders under different details) will result in the disqualification of all associated entries;only entries with the correct answer submitted within the time limit will be entered into the draw. Tickets associated with an incorrect answer or an expired time limit will not proceed to the draw and no refund, credit or replacement will be given in respect of them.
10.2 The Multiple Choice Challenge for each Competition is designed and calibrated — through the combination of the specialist difficulty of the question and the time limit — so that it can reasonably be expected to prevent a significant proportion of entrants from receiving a prize, or to deter a significant proportion of persons from entering, in accordance with section 14(5) of the Gambling Act 2005. The Promoter monitors and retains records of answer success rates for each Competition to ensure that this standard is maintained.
10.3 The following rules apply to every Multiple Choice Challenge: the correct answer is determined and recorded confidentially before the Competition opens, and will not be revealed until after the Competition has closed; your submitted answer is final and cannot be changed after submission;the time limit is measured and enforced by the Promoter’s systems. It is your responsibility to ensure that you have a stable internet connection before starting the Multiple Choice Challenge. The Promoter shall not be liable where a connection failure, device failure or any other technical issue on your side prevents you from viewing the question or submitting your answer within the time limit, and no refund will be given in such circumstances; you must answer personally, using your own skill, judgement and knowledge. The use of any assistance from third parties, collusion with other entrants, the sharing or publication of questions or answers, and the use of bots, automated tools, artificial intelligence tools or any other aid designed to circumvent the skill element or the time limit are strictly prohibited and will result in disqualification and forfeiture of any prize;if the Promoter reasonably believes that the correct answer to a Multiple Choice Challenge has been compromised, leaked or published before the close of the Competition, the Promoter may void the affected question and substitute a replacement question of comparable difficulty, in which case all entrants will be invited to answer the replacement question (subject to the same time limit) and only correct answers to the replacement question will be entered into the draw; only the entries recorded in our systems, including the recorded submission time, shall be entered into the relevant Competition; your entry confirmation email serves as the record of your entry, and you may verify your entries at any time by contacting us.

Entry limits and general

10.5 Each Competition may be limited to a maximum number of entries, displayed on the Competition page. Where limited, the Competition closes when the last Ticket is sold or the Promotion Period ends, whichever is earlier. Where a Competition is limited to a maximum number of entries, an indication of the remaining or total number of entries will be displayed on the relevant Competition page. The maximum number of entries per person (“Competition Entry Limit”) is displayed on the relevant Competition page.
10.6 Ticket prices are displayed at the point of sale. Payment methods are as specified on the Website. You are not entered into a Competition until your payment has cleared and we have confirmed your entry by email. Once a Ticket has been used to enter a Competition, no refund, credit, exchange or cancellation will be made except as expressly provided in these Terms of Use. By purchasing a Ticket, you expressly request immediate performance of the entry service and acknowledge that you lose any statutory right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges)

Regulations 2013 once your entry has been registered in the Competition.

10.7 We reserve the right to refuse or disqualify incomplete entries, and to forfeit entries made in material breach of the Terms and Conditions without refund.
10.8 Any Ticket purchased using a payment that is subsequently reversed, cancelled, disputed, charged back or otherwise determined to be fraudulent or unauthorised shall be deemed void. Any associated entries shall immediately become invalid, regardless of whether the Competition has closed or a Prize has already been awarded. The Promoter reserves the right to recover any Prize awarded in connection with such payment, recover any administrative, payment processing and legal costs incurred where permitted by applicable law, and suspend or permanently prohibit the participant from future Competitions.

11. PROMOTION PERIODS

11.1 Each Competition runs for a specified period (“Promotion Period”), with opening and closing dates and times displayed on the relevant Competition page.
11.2 We may extend the closing date of a Competition, or cancel, terminate, modify or suspend a Competition, if any aspect of it is not capable of running as planned for reasons beyond our reasonable control (including technical failure, fraud, tampering or unauthorised intervention). If a Competition is closed early, the winner may be selected from all valid entries received before closure. If a Competition is closed without a winner being selected, all entrants will receive site credit or a refund of their Ticket purchases for that Competition.

12. DRAW PROCESS

12.1 Following the end of the respective Promotion Period, all valid and eligible entries received by the Promoter during the Promotion Period will be reviewed, and only entries that have answered the Multiple Choice Challenge correctly within the applicable time limit will be entered into a random draw to select the winning entrant (the “First Prize Winner”).
12.2 The winning entry shall be drawn by an independent promotional verification service (such as RandomDraws or similar) using its certified random number generator software, or by the Promoter using certified random number generator software. The Promoter may conduct the draw as a live draw broadcast on the Website and/or our social media channels, or through an automated draw system, provided that in all cases the winner is selected at random from correct entries only.
12.3 The date of the draw will be displayed on the relevant Competition page. Following the draw, the correct answer to the Multiple Choice Challenge, the number of correct entries and the draw result will be published on the Website.

13. WINNERS

13.1 We will make reasonable attempts to contact the potential winner using the telephone number and/or email address provided in their Entry Details. It is your sole responsibility to ensure these details are accurate.
13.2 The potential winner forfeits the prize, and we may select an alternative winner, if: we are unable to contact them within 5 (five) calendar days of the end of the Competition (which may be extended at our discretion);they fail to confirm acceptance of the prize within 30 (thirty) calendar days of our first successful contact; they are disqualified for contravening the Terms and Conditions; or they fail to complete identity verification within 10 (ten) calendar days of our request.
13.3 Potential winners will be required to confirm their date of birth and may be required to provide documentary evidence of identity, age and eligibility before any prize is delivered.
13.4 A list of winners (surname and county) will be made available on the Website and/or on request by email to the address in clause 21 for a period of at least 1 (one) month after the end of each Competition, in accordance with the CAP Code. If you object to your surname and county being published, contact us — however, we may still be required to provide winner information to the Advertising Standards Authority.

14. PRIZES

14.1 The prize for each Competition is described on the relevant Competition page (the “Prize”), typically a graded collectible trading card (for example, a One Piece Card Game card graded by BGS, PSA or CGC).
14.2 Authenticity and grading. All card Prizes are genuine, authentic products, lawfully acquired, and where stated, professionally graded and encapsulated by an independent third-party grading company. The grade stated is that assigned by the grading company; the Promoter does not itself grade cards and makes no representation beyond the independent grade assigned. Certification numbers will be verifiable on the relevant grading company’s database.
14.3 Prize Images. Photographs and images of Prizes displayed on the Website are provided for illustrative purposes only. While the Promoter uses reasonable efforts to accurately display each Prize, minor differences in colour, lighting, image quality or appearance may occur and shall not constitute a defect or misrepresentation of the Prize.
14.4 Condition. Graded Prizes are awarded in their sealed, encapsulated holder (“slab”) in the condition assessed by the grading company. The winner accepts the Prize in that condition. The Promoter is not liable for any subsequent change in condition after delivery, nor for any dispute regarding the grade assigned by the grading company.
14.5 No investment representation. Trading cards are collectibles whose market value fluctuates. Any value stated on the Website is an estimate based on recent comparable sales or market data at the time of listing. The Promoter makes no representation, warranty or guarantee as to the current or future market value of any Prize, and shall not be liable for any decrease in market value.
14.6 No cash alternative. The Prize is the physical card described on the Competition page. No cash alternative is offered, and the Prize cannot be exchanged for cash or any other item at the winner’s election. Where the Promoter is unable to provide the stated Prize due to circumstances beyond its reasonable control, the Promoter will award a reasonable equivalent prize — being a genuine copy of the same card of the same or higher grade, or a graded card of comparable nature and market value — or, only where no reasonable equivalent is available, a cash amount reflecting the market value of the Prize at the time of the award, at the Promoter’s election.
14.7 Delivery. Prizes will be shipped by fully insured, tracked and signature-required courier to the winner’s verified address, at the Promoter’s cost within the UK, within 21 calendar days of receipt of the winner’s confirmed delivery details. Risk in the Prize passes to the winner upon delivery. It is the winner’s sole responsibility to provide an accurate delivery address; we are not liable for loss resulting from incorrect details provided by the winner.
14.8 International winners. Where delivery outside the UK is accepted, the Promoter will pay the cost of standard insured, tracked shipping. Any customs duties, import VAT or official handling fees levied by the destination country must initially be paid by the winner to release the Prize, and will be reimbursed in full by the Promoter upon presentation of official supporting documentation, in accordance with the Competition Rules. The winner remains responsible for ensuring the Prize may lawfully be imported into their country. If the Prize cannot lawfully be delivered to the winner’s country, the Promoter may deliver to an alternative lawful address nominated by the winner or, failing that, award a cash amount reflecting the market value of the Prize.
14.9 Taxes. Winners are solely responsible for any taxes, fees and expenses relating to acceptance, ownership, use or resale of a Prize, except where we have expressly stated we will cover a specific cost.
14.10 Prizes must be accepted as awarded and are non-transferable prior to delivery. Only 1 (one) principal prize will be awarded per Competition unless otherwise stated on the Competition page.
14.11 Unclaimed prizes. Any prize unclaimed for 30 (thirty) calendar days from notification will be forfeited and voided. We will make reasonable efforts to remind winners, but failure to do so does not extend the claim period. We can store a Prize free of charge for 30 (thirty) calendar days after notifying the winner.

15. PUBLICITY

15.1 Winners may be invited to take part in publicity (photographs, videos, testimonials) for use in our marketing. Participation in publicity is voluntary and is not a condition of receiving a prize. Where a winner consents, they grant the Promoter a non-exclusive, worldwide, royalty-free licence to use such materials in connection with the promotion of the Competitions. A winner's decision not to participate in interviews, photographs, videos, testimonials or other promotional activities shall not affect their eligibility to receive the Prize.
15.2 See clause 13.4 regarding publication of winner details for transparency purposes.
15.3 Social Media Disclaimer : Competitions may be advertised or promoted through third-party social media platforms, including Instagram, Facebook, TikTok, YouTube, X (formerly Twitter) and Twitch. Such platforms are not sponsors of, affiliated with, endorsed by, administered by, or otherwise associated with the Promoter or any Competition. By entering a Competition, participants acknowledge that they are providing their information solely to the Promoter and not to any social media platform, and fully release such platforms from any liability arising out of or in connection with the Competition.

16. FAIR AND RESPONSIBLE PLAY

16.1 Our Competitions are intended to be fun. You should only spend what you can afford. We may provide tools to help you manage your play, including entry limits and self-exclusion; contact us at the address in clause 21 to request an entry limit or to self-exclude, and we will apply the restriction to your Entry Details.
16.2 If you are concerned about your spending, support is available from organisations including Citizens Advice (citizensadvice.org.uk), National Debtline (nationaldebtline.org) and GamCare (gamcare.org.uk).
16.3 We may, acting reasonably, refuse, restrict or suspend entries from any person where we consider it necessary to protect a customer or the integrity of the Services.

17. YOUR BREACH — INDEMNITY

17.1 To the fullest extent permitted by law, you agree to compensate the Promoter and its officers, directors, employees, agents and suppliers for any reasonable losses, liabilities, damages, costs or expenses sustained or incurred by us arising out of your breach of the Terms and Conditions.

18. DISCLAIMERS AND LIMITATION OF LIABILITY

18.1 Nothing in the Terms and Conditions excludes or limits our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited by law. Nothing in these Terms affects your statutory rights as a consumer.
18.2 If we fail to comply with the Terms and Conditions, we are liable for loss or damage that is a reasonably foreseeable result of our breach or negligence, but not for any loss or damage that is not reasonably foreseeable.
18.3 Subject to clause 18.1, our maximum liability to you in relation to any one incident or connected series of incidents shall be limited as follows:where the liability relates to your participation in a Competition and you have won a prize: the cash value of that prize as stated on the Competition page;where the liability arises from the loss, deletion or failure to process your entry, or a technical failure preventing your entry from being registered: a replacement entry into an equivalent Competition or a refund of the affected Ticket(s), at our election;in all other circumstances: £100 (one hundred pounds).
18.4 To the fullest extent permitted by law, we are not liable for loss or damage resulting from: your use of the Services in breach of the Terms and Conditions; the acts of other users; delays in prize delivery caused by couriers or events beyond our reasonable control; network, hardware, software or internet malfunctions (unless caused by our failure to use reasonable skill and care); unauthorised access to your transmissions or data; or events beyond our reasonable control (including acts of third-party providers, war, terrorism, riots, fire, flood, or compliance with any new law or governmental order).
18.5 Only entries recorded in our systems will be entered into a Competition.

19. PERSONAL DATA

19.1 We will process your personal data to administer the Competitions, verify eligibility, deliver prizes and comply with our legal obligations, in accordance with UK data protection law (UK GDPR and the Data Protection Act 2018) and our Privacy Policy available at https://winthecard.com/privacy-policy.

20. COMPLAINTS AND DISPUTES

20.1 If you have a complaint about any aspect of the Services, contact us at the address in clause 21 and we will endeavour to resolve it promptly.
20.2 If you are not satisfied with the outcome, you may be able to refer the matter to an alternative dispute resolution provider or to the courts (see clause 22).

21. CONTACT US

22. OTHER LEGAL TERMS

22.1 Governing law. The Terms and Conditions and all matters relating to the Services are governed by the laws of England and Wales. If you are a consumer resident elsewhere in the UK or the EU, you also benefit from any mandatory protections of the law of your country of residence.
22.2 Jurisdiction. Disputes are subject to the non-exclusive jurisdiction of the courts of England and Wales. If you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
22.3 Assignment. We may assign our rights and obligations under the Terms and Conditions; you may not assign yours.
22.4 Third parties. The Terms and Conditions do not give rights to any person other than you and us.
22.5 Severability. If any provision is found unenforceable, the remaining provisions continue in full force and effect.
22.6 No waiver. Our failure to enforce any right or provision is not a waiver of it.
22.7 Entire agreement. The Terms and Conditions (and any documents incorporated by reference) constitute the entire agreement between you and us relating to the Services.
